1. Onkydra and how to contact us

Onkydra (“Onkydra”, “we”, “us”) operates the Onkydra workspace, an in-silico stratification service for rare-cancer drug development. Onkydra is based in the Republic of Ireland. You can reach us at hello@onkydra.com. Full entity details, registered business address, and any designated representatives will be added on this page after incorporation and counsel review.

2. Acceptance of these Terms

By creating an account, subscribing to a plan, or otherwise accessing the Onkydra workspace, its APIs, or its outputs (together, the “Service”), you enter a binding agreement with Onkydra under these Terms of service (the “Terms”) and our Privacy policy. You must be at least 16 years old and act in a professional research capacity, either on your own behalf or on behalf of a research organisation that has authorised you to bind it to these Terms. If you do not agree, do not use the Service.

3. What the Service does, and does not do

Onkydra generates and prioritises drug-target hypotheses by combining public molecular datasets, foundation models, and peer-reviewed literature. The intended purpose of every output is research use only.

Under Regulation (EU) 2017/745 (Medical Device Regulation) and Regulation (EU) 2017/746 (In Vitro Diagnostic Regulation), software is a medical device or an in-vitro diagnostic medical device only where its intended purpose falls within the scope of those regulations. Onkydra is not intended by us to be used for the diagnosis, prevention, monitoring, prediction, prognosis, treatment, alleviation, or management of disease in any identified or identifiable patient, and accordingly is not offered as a medical device or as an in-vitro diagnostic medical device. It has not been CE-marked under either regulation and has not been cleared or approved by the U.S. Food and Drug Administration.

You must not use the Service as a diagnostic tool, as a treatment recommender, as a clinical decision-support system, or as a substitute for wet-lab, animal-model, or clinical validation. Any decision to test a hypothesis in a laboratory, animal model, IRB-approved trial, or clinical setting is yours alone, made under the regulatory and ethical framework of your jurisdiction. You retain sole responsibility for the scientific and clinical judgement applied to any output.

4. Your account and eligibility

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately at hello@onkydra.com if you suspect any unauthorised access. If you access the Service on behalf of an organisation, you confirm that you are authorised to do so and that the organisation accepts these Terms.

5. Acceptable use

You agree not to:

  • Use the Service to make individual patient-care decisions, or to present Onkydra outputs as clinical recommendations, diagnostic findings, or regulatory submissions.
  • Upload data that you do not have the right to process, including any personal data falling within Article 9 of the GDPR (health data, genetic data, biometric data), any personal data protected under HIPAA, or any patient-identifiable clinical record. The Service is not certified to handle such data and doing so breaches these Terms.
  • Attempt to reverse-engineer, decompile, or interfere with the operation of the Service beyond the extent permitted by applicable law, including Article 6 of Directive 2009/24/EC on the legal protection of computer programs.
  • Use the Service to generate content that violates applicable law, infringes the intellectual-property rights of a third party, breaches the licence of an upstream dataset (CBTN, cBioPortal, DepMap, LINCS, PubMed, Open Targets, and others), or misrepresents Onkydra outputs.
  • Circumvent rate limits, quota enforcement, or the hard-cap kill-switch on runs exceeding 500,000 tokens.

6. Subscription, billing, and cancellation

Paid tiers are billed by Stripe on a recurring monthly basis in advance. Prices are shown in euro and are exclusive of VAT, which is added at checkout at the rate applicable to your billing address. Subscriptions renew automatically until cancelled.

You may cancel at any time from the Stripe-hosted Customer Portal linked in the workspace Settings page. Cancellations take effect at the end of the current billing period. No pro-rated refund is issued for the unused remainder of a paid period, unless the refund is required by a mandatory rule of consumer or contract law that applies to you.

If you subscribe as a consumer within the meaning of Irish law and the Consumer Rights Act 2022, you have a statutory 14-day right of withdrawal from the moment your subscription starts. Because the Service delivers digital content and services immediately on subscription, you expressly consent to that immediate delivery at checkout, and acknowledge that once execution of the Service has begun you lose the right of withdrawal for the portion already performed, as permitted by the Consumer Rights Act 2022.

7. Your data, your outputs, our IP

As between you and Onkydra, you retain all rights to the queries you submit and to the reports the Service generates for you, subject to the licences of the underlying public datasets and models referenced below. We do not claim ownership of your outputs and do not train foundation models on your queries.

Onkydra retains all rights to the Service itself, including its source code, the workspace UI, the curated indication libraries, the methodology, the agent orchestration layer, and all associated trademarks. Nothing in these Terms grants you a licence to any of those beyond what is necessary to use the Service on the plan you have paid for.

8. Third-party services and public datasets

The Service is built on third-party infrastructure and data sources including Google Cloud Platform (hosting, Cloud SQL, Vertex AI), Stripe (billing), and Resend (transactional email), together with foundation models and public datasets including Gemini via Vertex AI, scPRINT-2, CellOracle, DepMap, CBTN, cBioPortal, LINCS L1000, PubMed, and Open Targets. Your use of the Service is also subject to the terms and licences of these third parties. We do not warrant the accuracy, availability, or continued permissibility of any third-party service, and we are not liable for their acts or omissions to the extent they operate outside our reasonable control.

9. AI-generated content

Onkydra outputs are AI-generated. Every report is labelled as such, and every claim carries a citation to the underlying dataset, cell line, signature, or literature source. This labelling reflects our approach to the transparency obligations of Article 50 of Regulation (EU) 2024/1689 (the AI Act) for AI-generated content, applicable from 2 August 2026. Onkydra is not intended to operate as a high-risk AI system within the meaning of Annex III of the AI Act, because it does not make decisions that produce legal or similarly significant effects on natural persons and does not perform any of the enumerated high-risk functions.

10. Warranty disclaimer

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Onkydra disclaims all express and implied warranties, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and any warranty that the Service will produce clinically actionable, statistically definitive, or reproducible results. This clause does not exclude or limit any statutory right you have as a consumer that cannot be excluded or limited under applicable law.

11. Limitation of liability

To the fullest extent permitted by law, Onkydra is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or opportunity, arising from your use of the Service. Onkydra's total aggregate liability under these Terms will not exceed the greater of €100 and the fees actually paid by you to Onkydra in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under any non-waivable consumer-protection rule of Irish law (in particular the Consumer Rights Act 2022).

12. Term and termination

These Terms apply from the moment you first access the Service until your account is terminated. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we cease to operate the Service. On termination, your right to use the Service ends. Sections that by their nature should survive termination (in particular sections 7, 10, 11, and 13) survive.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Ireland, without regard to its conflict-of-laws rules. You and Onkydra submit to the exclusive jurisdiction of the courts of Ireland for any dispute arising out of or in connection with these Terms.

If you contract as a consumer, this clause does not deprive you of the protection of any mandatory rule of the law of the country in which you have your habitual residence, and you may bring proceedings in the courts of that country if the law of your residence permits it.

14. Changes to these Terms

We may update these Terms from time to time. Material changes are notified by email to the address on your account at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you may cancel your subscription with no further charge before the effective date.

These Terms are a plain-language template and will be reviewed by qualified Irish counsel before Onkydra transacts a regulated engagement or accepts customer signatures on any variation.
